Acceptance of Terms

By accessing or using Tax Sahayogi (the "Service"), operated by Sahayogi One Private Limited ("Sahayogi One," "we," "our," or "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Sahayogi One. Please read them carefully before using Tax Sahayogi.

Description of Service

Tax Sahayogi is an AI-powered tax copilot designed for Chartered Accountants, tax professionals, and advisory firms in India. The Service provides:

• AI Tax Advisory: Conversational AI assistance for tax queries, research, and guidance based on Indian tax laws and regulations.
• Notice Parsing: Automated extraction and analysis of tax notices issued by revenue authorities.
• Reply Generation: AI-assisted drafting of responses to tax notices and communications.
• Tax Calculators: Tools for computing tax liabilities, deductions, interest, and penalties under various provisions of Indian tax law.

Eligibility

To use Tax Sahayogi, you must:

• Be at least 18 years of age.
• Be a licensed professional (such as a Chartered Accountant, tax consultant, or legal practitioner) or a registered business entity using the Service for professional purposes.
• Have the authority to enter into these Terms on behalf of yourself or your organisation.

By using the Service, you represent and warrant that you meet all of the above eligibility requirements.

Account Registration

To access certain features of Tax Sahayogi, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration and keep your account information updated.
• Maintain the security and confidentiality of your login credentials, including your password.
• Not share your account credentials with any third party or allow others to access the Service through your account.
• Notify us immediately at support@sahayogione.com if you suspect any unauthorised use of your account.

You are responsible for all activity that occurs under your account, whether or not authorised by you.

Acceptable Use

You agree not to use Tax Sahayogi to:

• Engage in any activity that violates applicable laws, regulations, or professional standards.
• Submit fraudulent, misleading, or intentionally inaccurate information to the Service.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying algorithms of the Service.
• Scrape, crawl, or use automated tools to extract data from the Service without our express written permission.
• Use automated scripts, bots, or other means to access the Service in a manner that exceeds reasonable usage or circumvents rate limits.
• Interfere with or disrupt the integrity, performance, or security of the Service or its underlying infrastructure.
• Upload or transmit any malicious code, viruses, or harmful content through the Service.
• Use the Service to generate content for illegal tax evasion, money laundering, or any other unlawful purpose.

AI-Generated Content Disclaimer

Tax Sahayogi provides AI-generated outputs, including tax guidance, notice analysis, and draft replies. These outputs are intended to assist qualified professionals and do not constitute legal, financial, or tax advice.

You acknowledge and agree that:

• All outputs generated by Tax Sahayogi are produced by artificial intelligence and may contain errors, inaccuracies, or omissions.
• AI-generated content should not be relied upon as a substitute for professional judgement. All outputs must be reviewed, verified, and validated by a qualified professional before being used, submitted, or relied upon in any professional or legal context.
• Tax laws and regulations are subject to frequent changes, and AI outputs may not always reflect the most current legal position.
• Sahayogi One does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated content.

Intellectual Property

The Tax Sahayogi platform, including its software, user interface, design, branding, documentation, AI models, and all associated intellectual property, is owned by Sahayogi One Private Limited and is protected under applicable intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on any part of the platform without our prior written consent.

Your data and documents remain yours. You retain full ownership of any content, documents, tax notices, or data you upload to or create through Tax Sahayogi.

User Content

You retain all rights, title, and interest in and to the content you submit, upload, or create through the Service ("User Content"), including tax notices, queries, documents, and professional work product.

By using the Service, you grant Sahayogi One a limited, non-exclusive, non-transferable licence to process, store, and analyse your User Content solely for the purpose of delivering and improving the Service. This licence:

• Is limited to service delivery and does not extend to any other use.
• Does not grant us ownership of your User Content.
• Terminates upon deletion of your account or the relevant User Content.

We will not use your User Content for advertising, sell it to third parties, or share it beyond what is necessary for service delivery as described in our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by applicable law:

• Sahayogi One shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of, or reliance on, AI-generated outputs or any other aspect of the Service.
• We are not responsible for any loss, penalty, or adverse outcome resulting from decisions made based on AI-generated content provided by Tax Sahayogi.
• Our total aggregate liability to you for any and all claims arising out of or in connection with the Service shall not exceed the total fees paid by you to Sahayogi One during the twelve (12) months immediately preceding the event giving rise to the claim.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to indemnify, defend, and hold harmless Sahayogi One Private Limited, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any reliance on AI-generated outputs without appropriate professional review and verification.
• Your User Content or any activity that occurs through your account.

Termination

By Us: We reserve the right to suspend or terminate your account and access to the Service, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or unlawful activity, or if continued provision of the Service is no longer commercially viable.

By You: You may delete your account and discontinue use of the Service at any time through your account settings or by contacting us at support@sahayogione.com.

Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including, without limitation, intellectual property, limitation of liability, indemnification, and governing law) shall continue to apply.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Delhi / New Delhi, India.

Changes to Terms

We may revise these Terms from time to time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email or through the Service.

Your continued use of Tax Sahayogi after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
